China is a civil law country. In building a modern country ruled by law , a codification of the Civil Code is essential. In the beginning of the century, the domestic civil law scholars had started a fierce debate on the codification, but most scholars in civil law were lack of reflective thinking of the problems such as the relationship between civil law theory and civil law codification, and whether scholars in China had made full preparation for the purpose of codification of the Civil Code. The history of the civil law of the two representative countries-France and Germany-tells us that in order to success on the road to the Civil Code, scholars in civil law must complete the three tasks of succession, localization, systematization of the foreign theory. But returning to China's history of 100 years of civil law, the three tasks remains to be completed. Therefore, the Chinese civil law academia vote into the struggle of the civil law codification work in China is still a long way to go.
