The transformation of Public Welfare Institution to the third department is one of the directions of our public service, and also the important approach to establish the cooperative relationship of the country and the society.Firstly, this paper introduces the classification and the character of our Institution and the actuality of the institution reform. Through comparing the similarities and differences of our institution and the western third department, it concludes that Public Welfare Institution is appropriate to transform to the third department. According to the property right theory, the stakeholder theory and the institutional change theory, this paper analyzes the interest demands and interest changes of all stakeholders including government, Institution leaders and staff, Institution clients and other third departments in the transformation of Public Welfare Institution to the third department. Considering whether Public Welfare Institution can survive and develop after the transformation to the third department, it concludes the property right barrier, personnel barrier and the fund barrier which will possibly meet in the conversion process. This paper quotes the investigation on Qinghai Institution to Non-profit organization by Professor Zhao Lebo in Qinghai Administration Institute and the Non-profit organization reform case of Yangtze River academy of science's, then analyzes the concrete barriers which actually meet in the conversion process. Finally, based on the theoretical analysis and the empirical analysis, this paper finds the corresponding countermeasure and provides the reference and basis for impelling the reform of public welfare institution.
