Research On Remedies For Corporate Deadlock

Corporate deadlock is the situation that a company could not operate or even exist because of divergence among directors and shareholders. Breaking the corporate deadlock will help maintain interests of the company, company shareholders, company creditors, company personnel and the public. Therefore it is very important to theory and practice that studying remedies for corporate deadlock.The research method of this paper is unity of induction and deduction. Through doing research on corporate deadlock disputes and relevant legislation in China, it analyses characteristics and causes of the disputes, and defects of the legislation; then it puts forward suggestions on remedies for corporate deadlock in China.This thesis is divided into four chapters.Chapter one is an overview of corporate deadlock issue. By grasping and comprehending the concept and characteristics of corporate deadlock, it finds out causes of corporate deadlock, and analyses the importance of remedies for it in order to establish a basic theoretical support on remedies for corporate deadlock.Chapter two studies remedies for corporate deadlock from the perspective of foreign countries. It sets to study foreign theories of corporate deadlock. Meanwhile, it analyses the mature remedy systems of the United States and Germany.Chapter three studies corporate deadlock conditions and legislation in China. It cites some relevant cases of corporate deadlock, analyses their characters and origins, and then studies Chinese legislation and its defects.Chapter four puts forward proposals to improve remedies for corporate deadlock in China. It starts from principles of remedies for corporate deadlock, follows the foreign advanced experiences, and on that basis puts forward suggestions of the improvement of our country on remedies for corporate deadlock in conformity with China's actual conditions.
