| About anonymous investment disputes, people tend to think that anonymous investor only directly invest in the company, which confuses the different legal relationships of anonymous investment. In fact, anonymous investment relates to more than one subject, whose relationships can be regulated by company law, civil law, contract law and other laws. Thus, there exists a variety of legal relationships of anonymous investment, instead of only one legal relationship between anonymous investor and company. This paper focuses on legal relationship between subjects of anonymous investment within company with limited liability. Chapter 1 analyses the basic theory of anonymous investment, including the concept of anonymous investors, the legal characteristics, doctrinal categories. Innovatively, the paper assorts anonymous investment into direct anonymous investment and indirect anonymous investment. This classification reveals the pattern of anonymous investment and underlies the analysis of legal relationship between subjects of anonymous investment. From chapter 2 to chapter 5, combining five cases, the paper straightens out legal relationships of anonymous investment from four prospectives, including relationship between anonymous investor and legal shareholder, relationship between anonymous investor and other shareholder, relationship between anonymous investor and the third party, illegal anonymous investment. Legal subjects'responsibility in different legal relationship is also analyzed. The paper mainly elaborates the subjects'legal relationship in the shareholder qualification dispute and indirect anonymous investment. The last chapter puts forward suggestions for risk prevention in anonymous investment.
