Reflection On Legal Regulation Related To Related-party Guarantee Of China's Listed Companies From "Delong Department Case"

This paper refers to a typical case of related-party guarantee-Delong Department of cases, reveals the issue of related-party guarantee for listed companies in China for many years. From both theory and practice, analyzing the pros and cons of related-party guarantee and the necessity of the existence; By comparing abroad and regional legislation on related-party guarantee,associating with China's market economy development and China's legislation on this, it reveals the lack of laws on this, improves the relevant legislative proposals.Writing this article is divided into the following main parts:Part i:The part asks questions that related-party guarantee of listed companies and the lack of laws on this by analyzing the "Delong System" development and Delong Department of cases in 2004 in China.Part ii:The part analyzes "Delong System" Relevance theory and legal practice including the existence of jurisprudence associated with the secured base and its economic value analysis and correlation analysis of the security drawbacks, reveals that the security association is a "double-edged sword". This lay the foundation for how to regulate related-party guarantee.Part iii:This part summaries abroad and regional complete legislative provisions and our laws, reveals the relevant legislation of China's progress and deficiencies and proposes measures to continuously improve;Part iv:By "Delong line" analysis and earlier cases of related theories, legislation, analysis, this part proposes to regulate the security of the relevance of specific measures to prevent a number like "Delong line" cases of recurrence.
