Reserch On Actual Controller Liability

First, I introduce the concept of the actual controller and other issues, the paper used the concept of the actual controller in《Company Law》of China, the actual controller is analyzed, and then present several features of the actual controller. Then this paper analysis several similar concepts, the distinction between the actual controller and the controlling shareholders, implicit shareholders, in order to be better able to grasp the concept of the actual controller.Actual controllers can control the company in many different ways, control methods can be divided into equity and non-equity control mode. This article describes the equity control and non-equity control mode in several ways, voting-type control, contract control, the relationship between controls and so on.Then I made brief comments on the actual controllers responsibility on the legislative status, the concept of controlling shareholders and actual controllers exist vulnerability, but also other problems, by improving the views.Finally, the liability of actual controllers on the existing legal system is analyzed, that the corporate veil and derivative litigation system is the system of choice, but there are also difficult to prove.
