| This Article analyzes the stock trade behavior of institutional investors and their participating in the Listed Companies management .In order to make institutional investors'behavior more rational and more normative ,we have to by the way of designing system and improving rules and regulations. In writing this paper, by drawing on the theory of modern finance and management, corporate governance theory and behavior finance included, this Article is organized as follows: Part One discusses the concept of institutional investors and their characteristic .Part Two discusses factors affecting the stock trading of institutional investors ,this part particular focus is on resolution policies which is make their stock exchange more legal and effective .Part three discusses their participating in the Listed Companies management, focusing on the analysis legal value of their participating in the Listed Companies management, and focusing on improving the legal system so as to advance institutional investors participating in the Listed Companies management .
