With the deepening of reform of state-owned enterprises, corporate governance has been an important content of the reform, the constraint mechanisms of top managers is the key of corporate governance. Constraint failure leads to the imbalance of corporate governance, especially in the companys restructured from state-owned enterprises, it experienced serious internal control. So, faced with growing expansion of the right management, how effectively executives constraint is of great significance.Firstly, introduction of this paper describes some background and significance of the topics, domestic and international research, the contents of this paper, the structure arrangement and innovation.The second part of paper, begins with the background of restriction mechanisms, defines the scope of top managers, and then studies the production and development of constraint mechanisms from evolution of corporate control power, finally elaborates its theoretical basis. In the third part, the author makes legal analysis of restriction mechanisms, and analyses the particularity of restriction mechanisms of state-owned enterprises combined with the status quo of constraint governance.In the forth part, the author makes some systematic advice on how to perfect the constraint mechanisms of top managers of state-owned enterprises in China, which included the improvement of corporate governance structure, the external market mechanism constraints, institutional constraints and so on.
