| University-run enterprise in China has made great contributions to our country's economic and society development, and also played an important role in the university development since the reform and opening to outside. Although a great progress has been made in the university-run enterprise development these years, there are many problems to be solved urgently which restrict the development of university-run enterprise. These problems are shown as: the disordered property right relationship, university need to be taken all the enterprise's business risk; the irregular management system, the inadequacy of university interference; lake of input and exit mechanism, and so on. So reformation in university-run enterprise is imperative.It is pointed out that university-run enterprise must be divorced form the matrix gradually and taking the road of profit-and-loss responsibility, independent development and corporate by analyzing the current situation of university-run enterprise and existing problems. According to the requirements of social development in the new situation, the authors obtained the mode of university-run enterprise reform by citing the theory of reform. It must be based on their own features when each university put it into practice. This paper also makes a suggestion on the governance model of assets managing company of university which is the core part of system reform pattern. Standing on it own situation, Beijing Jiaotong University has been carrying out these works by using this mode as a frame and obtained a quite good result.Starting from the policy guidance, this paper is studied on the mode of university-run enterprise reform. It is hoped that the article's research can contribute to that the university-run enterprise can have a health and orderly development with the advancement of the university-run enterprise. In the meantime, it is best if the research can attract the attention of experts and scholars on the university-run enterprise reform.
