In the process of the reform of China and development of rural areas, RuralCollective Economic Organizations play an important role, whose forms as welldevelop greatly with the development of rural productivity and rural economic systemreform. Especially after the Third Plenary Session of the eleven, rural areas reformedbased on the household contract and the double management system, which is a mostimportant change of rural collective economic organization. This major change in themain feature,from the original collective ownership to the acknowledgement offarmers’ rights, led to the rural collective economic organizations in the subsequentdevelopment existing in name only, or being replaced by some new organizations,such as cooperatives, or being extinct directly. But in the formation of the rural legalrelationship which is based on land still exists, and the collective assets is still ruralcollective property, which requires a new collective organization to manage them.That is the corporate transformation used by rural collective economic organization inthe form of the share-holding system.This paper has four parts. The connotation is discussed in the first part, the natureand the main content of the rural collective economic organizations. The second partmainly studies the historical evolution of the rural collective economic organizations,and also discusses the ownership and the member rights of the rural collectiveeconomic organizations, the main purpose of which is to study the necessity and theurgency of the corporate transformation on the rural collective economicorganizations of shareholding system. In the third part the paper focuses on thecurrent form of rural collective economic organization, which includes threecategories: the villagers committee, cooperative and collective economic organization,as well as the various forms of specific patterns and defects based on a lot of researchmaterials. In the last part of the paper, the necessity of the transformation and how tomake it in terms of shareholding system are discussed, mainly on how to consummatethe lawmaking of the legal relationships existed in the rural collective economicorganizations for corporate transformation.The innovation of this paper is adopting scientific ways to analyze the realityproblems existing in cooperatives and the villagers committees, combined withabundant field research materials, and then expounding the necessity of the legal reform of rural collective economic organizations in terms of shareholding system. Inaddition, as for the main ways of transformation, as most of the articles publishedmainly elaborated the transformation of the construction from the aspects of internalmechanism, the main purpose of this paper is to explore how the rural collectiveeconomic organizations have the legal person reform from the legal aspect.
