A Study On The Status Quo And Role Of Independent Directors In The Legal Background Of Listed Companies

As an institutional innovation of the Anglo-American corporate governance, the independent director system is considered as an effective way to operate the listed companies, and it has been learned and introduced by more and more countries as an advanced experience. In2001, China also introduced this system with the hope that it could play a great role in domestic corporate governance. So, how is the development of the independent director system in our country, and how about its actual function? Based on the occupational backgrounds of the independent directors and taking the independent directors with legal professions as the entry point, this article adopts the research methods of theoretical analysis and data statistics to investigate the current situation and effect of such independent directors.Besides the introduction and conclusion, the main body of this article is divided into three chapters. The first chapter introduces the research background and motivation of this subject, and summarizes the previous researches on the independent director system. The second chapter consists of two parts. It firstly clarifies the different occupations of the independent directors with legal professions. Then based on such clarification, it analyzes the development of those independent directors in quantity, proportion, occupational distribution and other aspects through large amounts of data statistics. The third chapter comprises three sections. Combined with the statistical results, the first and second sections discuss the function of the independent directors with legal professions from theoretical and practical perspectives respectively. The third section analyzes the causing reasons according to the research results of the previous two sections.
