A Study On The Legal Problems Of Shareholders' Right To Know

With the establishment of modern enterprise system, the separation of shareholders’rights and legal person ownership, management rights happened. Company management and large shareholders often infringes the rights of small shareholders, such as market fraud behavior, in listing Corporation as an insider trading behavior. The general meeting is often not effective exercised, for abusing of the capital majority rule leads to the management and large shareholders control the meeting. With the development and perfection of relief system of shareholder’s right to know protection system, the effective protection of shareholder’s right to know, is the inevitable requirement of China’s development of the rule of law and economic development. This paper introduces the basic content and the judicial practice in China is analyzed in the shareholder’s right to know in practice, and discusses the shareholder’s right relief system, aiming at the existing problems, and puts forward some opinions and suggestions of their own, to help the research.This paper is divided into three parts on China’s shareholders’right to know, and the system are described and discussed. The first part talks about the concept and legal nature of shareholder rights, to know of this concept, so that the concept of shareholder’s right to know, finally obtained, and to explore the value of the system of shareholder’s right to know. The second part introduces the basic content and the design of our country’s system of shareholder’s right to know, including the inspection right, etc. The third part is mainly in the litigation right of minority shareholders as an example, and discusses the non-litigation foreign shareholders system of right relief, taking it for our country system design to reference.
