Accompanied by the steady improvement of modern company institutions, more deficiencies relating to the resolution to corporation deadlock and protection of shareholders’rights was enacted. Article183of the newly established Corporation Law in2005officially enriched the content about the remedies to the corporation deadlock. However, the provisions on the judicial dissolution are very vague, resulting to the puzzlement and inconvenience of the trial. With the guiding case launched by the Supreme People’s Court, this paper intends to study the judicial dissolution in the circumstance of corporation deadlock, relating to the concept and cause of formation of corporation deadlock, application condition and the substitute remedies of judicial dissolution in the circumstance of corporation deadlock.The first chapter refers to the main introduction of concept of corporation deadlock and its cause of formation as well. Clear understanding of the concept and cause of formation help to analyze solve the problem.The second chapter is about the fundamental theory and applying principles.The third chapter acts as the main part of this paper, with in-depth analysis of the application of judicial dissolution under the corporation deadlock. This chapter embodies the study of application of the provision nowadays and the application conditions in question.The forth chapter discusses the perfect of the judicial dissolution and the substitute remedies. As for the destructive effect of the judicial dissolution, the provision shall be applied with prudent principle. The legislation improvement is urgently needed. The prediction system settled in article of association, mediation, arbitration and other remedies should be used to resolve the corporation deadlock.
