Since the1990s, foreign mergers and acquisitions has become an important way of foreign direct investment. In the wave of the global economy, foreign mergers and acquisitions has gradually been normal in China’s market economy. China’s successful accession to the WTO has led to widespread foreign mergers and acquisitions cases in China. In order to prevent the monopoly phenomenon in some industries, China’s Anti-Monopoly Law provides anti-monopoly review system. This system has played a certain role in practice. In contrast, this system of America is better. America not only sets up anti-monopoly review system, but also sets up a national security review system. These systems provide a favorable security for America economic development. However, there is not national security review system in China. It is one of China’s legislative vacancies. Many scholars researched these two systems, but few researched the relationship between these two systems. This paper analyses the relationship between the antimonopoly review system and the national security review.This paper consists of four chapters:Chapter one shows the basic overview of foreign mergers and acquisitions, including the concept and characteristics of mergers and acquisitions and the classification of mergers and acquisitions, and then put s forward the positive role of foreign mergers and acquisitions as well as the impact on China.Chapter two introduces the anti-monopoly review system and the national security of China and America.Chapter three analyzes the difference p between anti-monopoly review system and national security review system.Chapter four points out the existing link between anit-monopoly review system and national security review system.Chapter five puts forward to proposal of improving our foreign M&A anti-monopoly review and the national security review system.
