On The Legal Issues Related To China 's Growth Enterprise Market

During the course of the setting-up of the GEM(Growth Enterprise Market) in China, the discussion of the academic world almost focused on the building of the market and the sustainable development of the GEM, the problem usually belonged to the economy and management science, but the view of law is seldom mentioned. My paper tried to use the view of law, focused on the medium-sized and small enterprises, to do some researches about the conditions of IPO and the legal issue they needed to pay attention.There are6parts in my paper. First part is the summary, mainly introduce the basic situations of the IPO of GEM in China. Part2to part5are the main parts of the paper, try to introduce the legal issues of the course of IPO of GEM in China, concluding the subject issue, the system of accounts issue, the independence issue, the sustainable profitability issue and the VAM issue. The6th part is the conclusion.From2000it was named the GEM by Chinese government, to Dec.29,2009it started, till now, the advantages of GEM in China are like this:vary company sources, the diversification of companies and the good quality of the companies from the high admittance.During the development of the GEM of China, there are still problems to be focused. Firstly, on the issue of the qualification of the main part of the publisher, it should be obeyed to the regulations. Secondly, on the issue of the system of accounts, besides the data on the project financial statement, the continuable profit capacity of the publisher is also focused. Thirdly, independence is the soul of a company, and it is the base of the IPO course of a company as well. Finally, the protection of VAM is also the issue of the IPO course.
