A Study Of Corporate Governance On The Property Right Of Yikun Company

Under the structure of WTO, China is opening deeper for all direction, more and wide area, abroad and domestic markets competitive will be more drastic, state-owned enterprise and private-owned enterprise will meet more challenge. For Chinese enterprise, not only structure adapted the administration which the market economy, the rules of enterprise must be set up for adapting the market rules, that is, the enterprise not only structured the competitive enterprise rules, simulative and distributed rules, it must be restructured and completed corporate governance. For our century, the destination aim of enterprise reform is structured modern enterprise rules, virtually, borrow the change of property rights systems to salute the issues of residual claim and residual rights of control.With the drastic competitive of the world markets and accelerated change of technology, all enterprise will meet more moving and indefinite environment, in large scale, enterprise efficiency determine the innovation of internal reorganization, therefore, the administration of technical innovation mainly limited by corporate governance, technology is one of success determination of enterprise, but it isn't the only factor, the key determination is the system of property rights control. In general, who has property right, it will have residual claim, means who will have the right to determine the residual property which rules and contract not clearly claim.Corporate governance mainly give this rights, there are two means: first, corporate governance is organized in the base of definite property, second, all rights distribute through corporate governance, it clearly statements both side closer ship: rights of control (property) is the fundamental of corporate governance, corporate governance is the aid of rights of control (property).Based on its closer ship, my paper introduces the theory of property rights and corporate governance in detail, mainly in the views of property rights and corporate governance restructure, analysis which private right is the majority property rights and corporate governance under the state-owned and private-owned company.This is the background in which I started to write this dissertation, first, statement the basic concepts and theory of property rights and corporate governance, second analysis the actual situation of property rights and corporate governance of Yikun corporation, state the effect and efficiency of it, last, put forward the suggestion of property rights and corporate governance restructure for the majority private property rights of state and private owned company to structure the modern corporation system.In this dissertation, the innovation view is through restructure of property rights and corporate governance to restructure the modern corporation system, discuss actual system of property rights and corporate governance re restructure for the majority private property rights of state and private owned company.
