Recerch On The Modes Of Overseas Listed POEs

Privately owned enterprises (POEs ) have developed rapidly in recent years. They have made great contributions to the development of Chinese economy. But they have only a few financing channels and face many financial difficulties. On the other hand, the foreign stock market have been looking for enterprise financing resources. Therefore, listing overseas (making use of the international fund to develop faster) is becoming a strategic choice for the POEs to get out of the financing trouble and walk up to the international market. Which overseas listing mode the Privately owned enterprises (POEs) should take is a question that needs to answer.This article analizes the three nomal modes of enterprise's overseas listing: IPO mode, Reverse Merger mode and the other modes. From the points of the reason and the phenomena of the POEs' overseas listing, this paper studies the characristics of the POEs' overseas listing. It focuses on the main modes of the POEs' overseas listing. Combining the demonstration, this article summarizes the trait of every overseas listing mode of the POEs and compares the advantages and disadvatages of each mode completely. Last but not least, the paper combines the examples of the privately owned enterprises in Zhejiang and further proves the conclusions mentioned above.According to the traits of the privately owned enterprises, listing overseas directly need to spend a lot of time and have a complex procedure., so this mode is not fit for the privately owned enterprises at present. The corporations should list overseas indirectly. Whether listing shares by merging or by making a "shell" depends on the characteristic of the corporations.
