Asset securitization is a kind of financial tool which is very mature overseas. It has developed very rapidly, and has become the widely accepted financing tool. Asset securitization plays an important role for commercial banks in reforming the structure of the assets-liabilities, and improving on the management. But the standardization for credit asset securitization must be based on the relevant system. It's the time of transforming the economy in our country. Many rules of market economy haven't been consummated. As a sort of systems engineering, credit asset securitization involves so much participants' interest that it will meet with many difficulties. There is a great deal of work which should be done in the future. Under such background, this thesis not only comprehensively discussed about the basic principles and the system designs of asset securitization, but also expounded the necessity and the system obstacle for asset securitization in China. It discussed about that the interest rate how_to influence the-risk of asset securitization and why banks would engage on asset securitization. It alsoanalyzed the participants how to do based on the game theory.There are five parts in this thesis. The forth part discussed the risks, incomes and selections of microcosmic subject. The fifth part mainly discussed about the assetselect and process of credit asset securitization in China.
