The banking system plays an important role in the national economic activities.Confronting to the fierce competition after the open-out of banking industry in 2006,how to enhance and improve the corporate governance of shareholding commercialbanks is something we must solve in time. In my thesis, based on the availablerelative research, the following aspects are what we focus on:At first, we estimate the efficiency of the nation-owned and shareholdingcommercial banks using the Data Envelopment Analysis method, and found out thatthe shareholding commercial banks, especially the listed ones, have a relatively highefficiency, which can prove that a good corporate governance structure andinformation-exposing system can have a positive impact on the profiting ability andefficiency of banks.Secondly, we set out the estimating index of the corporate governance ofshareholding commercial banks, referring to the request of risk management andsupervising level according to the Basel New Capital Agreement and correlativepolicies, and have the empirical research taking four listed banks as the sample.Thirdly, we analyze the influential factors of corporate governance and carry onthe correlation analysis between the governance level and efficiency. The empiricalresults using the Tobit Model show that the corporate governance indexes have apositive impact on the efficiency. On the other hand, the growing rate and size have anegative impact on the efficiency.Finally, we provide some suggestions about the main aspects which influence thebank efficiency, such as the reconciliation between the controlling shareholder and theminority shareholder, the structure of Board and Supervising Commitment, and howto establish the efficient incentive system, etc.
