This paper is a cross-study based on economics (particularly, new institution economics andthe theory of firm) and accounting theory. In detail, the paper is studies on some accountingquestions based on corporate control such as financial goal, accounting rules, accountinginformation distortion, etc. Moreover, the paper bases its discussion on the listed companies withstakeholders.All of the content will be discussed in 4 chapters.Chapter 1 is the "Introduction" which suggests the problem that we are to discuss, points outthe research method applied in the paper, explains the basic assumptions and concepts on whichthe paper bases its discussion, and also introduces the arrangement of the content.Then in Chapter 2, we aim to the financial goal. Because the modern company involvesbenefits of many subjects, we must changes the traditional concept of policy-making. In thischapter, based on the research of corporate control, we find that financial goal is equilibrium ofstakeholders' benefits and is founded on their property ownership distribution. Moreover,speaking of the physical circumstance, this equilibrium has the different manifestation.In Chapter 3, we explore the arrangement of rights of determining accounting rules. Inmodern company, the residue measurement function is enforced by accounting system. So it isvery important that stakeholders take part in the determining accounting rules. Even more, suchrights can be classified to the rights of determining general accounting rules and the rights ofdetermining residual accounting rules.Chapter 4 is the important part of the thesis. As we have mentioned previously, thearrangement of corporate control among the stakeholders will influence the accounting rules andthe accounting behavior. Such maybe eventually cause the accounting information distortion. Sowe put forward some suggestions.
