With the constant expansion of scale, the institutional investor has already obtain the ability to stabilize the capital market, optimize resource allocation efficiency and improve the corporate governance. But how to guide the increasingly growing institutional investors to play "positive shareholders doctrine" is the most urgent problem to solve for Chinese academic circles.This paper emphasizes the willingness conditions that the institutional investors how to participate corporate governance according the research ideas of "ability-wills-path". The will research is to analyze that the cost benefit how to guide the institutional investors to improve the corporate governance under the control of the ability and path that the institutional investors how to participate corporate governance.Firstly, this paper try to analyze the advantages and disadvantages theoretical that the institutional investors how to participate in the corporate governance and points out that many obstacles from the level of company, the institutional investors and the legal system exist. Secondly, the paper takes the securities investment funds as the research object to analyze their characteristics how to influence the enthusiasm during the participation in corporate governance. The results show that enthusiasm mainly comes from the absolutely holding, however, the low proportion of shareholding and share concentration can't cause the expected effect in the empirical analysis. Lastly, this paper puts forward relevant policy advices on how to guide the institutional investors to play shareholder activism according to the theoretical and empirical research.
