From it rise in China to now, with its rapid development, IT industry has always been an important driving force for the development of other industries and has played a good role in promoting. After ten years of development, many IT companies listed in China and gradually establish modern corporate governance structure and governance mechanisms. In the occasion of China's financial market continues to develop, securities investors, securities analysts and inside and outside companies growing concern the performance of IT industry listed companies. Corporate governance theorists and practitioners is imperative to understand our IT (Information Technology, IT) industry listed companies TMT (Top management Team, TMT) quality of governance. Among these, analysis of TMT competency structure of the high performance of the IT industry listed company becomes the focus of attention in recent years. TMT are at the core of corporate governance, how to make top management give full play to the talent, inspire the cooperation of the top management team created the potential for performance, the key is able to construct a scientific index system to give reasonable evaluation of their performance quality and conduct effective selection, assessment, training and management.At present, research on mechanism of relationship between IT industry listed companies TMT competency structure and corporate performance is still at the preliminary stage of exploration, which provide a huge space of in-depth study of this problem. At first, through literature research and exploration this paper proposed top management team competency structure composition. Second, through questionnaire surveys to collection data and statistical analysis to verify and correct hypotheses proposed model, research relationship between TMT competencies structure and corporate performance, whether organizational factors and outside factors have played a regulatory role and influence degree in relations between them. Finally, through AHP (Analytic Hierarchy Process, AHP) to further study the structure of TMT competency, educe evaluation standards and conducted a confirmatory analysis of a company.Through this study found that, IT industry listed companies TMT competence structure including strategic capabilities, opportunities capabilities, organizational capabilities, relationship capabilities and study capabilities, all of which have significant impact on corporate performance. Organizational factors and external environmental factors play important regulatory role in relationship between TMT competencies and corporate performance. TMT competencies structure evaluation matrix drawn from AHP has important theoretical and practical significance to further study of how to selection and evaluation of TMT.
