An Empirical Study And Apocalypse On The Validity Of Board Of Directors Of American Corporate Funds

Recently, with the rapid development of corporate funds across the globe headed by American mutual funds, the issue of governance of funds'board of directors—the core of fund governance has gradually become a focus attracting attention from scholars at home and abroad. This paper refers to the thinking path of board of directors'validity empirical study and relevant literature of funds'board of directors'governance, carries out an empirical study on the validity of board of directors of American corporate funds. Based on educed relevant conclusions, this paper finally puts forward apocalypse for China to found and develop corporate fund (analyzed from the perspective of board of directors) : optimize the scale of board of directors, fully exert the function of committee subsidiary to board of directors, elect excellent fund director, stimulate optimized conduct of directors, strengthen board of directors'independence of funds, thus contributes to validity of funds'board of directors, sets up and perfects self-examine system of funds'board of directors.
