Along with the global economic integration and global economic liberalization, Cross-border merger & acquisition (M&A) has been booming like a rising wind and scudding cloud and became the important impetus of foreign direct investment (FDI) and global economic development. Therefore, comprehensively analyzing related theories and practice summarize the experience and lessons in these activities have significance to improving our enterprises' competitiveness and helping them face the challenges of global competition.The main content of whole paper as follows:The part I (Chapter 2 ) analyzed the related theories of cross-border M&A and the feasibility of overseas M&A of China enterprises. The Part II (Chapter 3) analyzed financial strategy problems of overseas M&A of China enterprises, then combining the case of Lenovo acquiring IBM PC department to gave some financial advice. The part III (Chapter 4) mainly expatiated all kinds of risks of China overseas M&A activities, then gave countermeasures to these risks after analyzing the case of TCL Group's M&A. The part IV (Chapter 5) is M&A performance evaluation part. This part pointed out the limitations of traditional performance evaluation methods. Based on the strategy motivations of M&A of China enterprises, I created a performance evaluation framework form the view of financial and non-financial angel.The innovation of this paper as follows:1. On the basis of related theories of cross-border M&A, this paper attempt to study some important problems of overseas M&A such as financial strategy, financial risks and performance evaluation which is rarely related in present literature on this subject. 2. The study on the financial problems of China overseas M&A is closely integrated with successful or failed cases of China enterprises which showed the intensely pertinence of the study.
