The Research Of Corporate Governance Of The Reformed State-owned Monopoly Enterprise

At present our country state-owned enterprise reform entered the third stage. The key point of the reform is changing the large-scale state-owned enterprise into the modern enterprise system. As the nucleus of large-scale state-owned enterprises, the state-owned monopoly enterprises are carrying on the reform like a raging fire. But how about the effect of reform on the aspect of corporate governance of the state-owned monopolistic companies is? Which problems did not be solved yet? At present, there is not so much academic systematic research regarding this. Therefore, this article attempts to go from the specific scope and angle of state-owned monopoly enterprises after reform in our country, analysis the present situation of its corporate governance. We hope to discover the method and the measure to improve corporate governance mechanism for the State-owned Monopolies after reform.The researching technology of this article mainly combines the qualitative analysis and the quantitative analysis, the induction and the deductive method, the static analysis and the dynamic analysis as well as the corresponding system analysis method, and it conducts the research from the government characteristic of state-owned monopoly enterprise and the special management environment. Opposition to the general company, as a result monopoly status, this kind of enterprise has the unique external environment of governance: the produce market competition is not complete, the government leads the domination market, the manager market not yet forms, the surveillance function of bank creditor's rights displays and so on. The exterior government environment of company flaw causes the weakness of exterior mechanism effectiveness of company governance. On the internal structure company governance, the unbalanced stockholder's rights structure (state-owned stock is much bigger than others) causes that is difficulty to form the balanced mechanism among the shareholders, the company internal surveillance mechanism is imperfect, the worker governance mechanism is also extremely weak. Based on thorough analysis of the above question, this article pointed out the non-market intervention from government is the main reason of the existed question on the state-owned monopolistic company governance. Regarding this, this article proposed the countermeasure to the related question and suggestion to improve state-owned monopolistic company governance: Perfecting ownership structure; cultivating the effective company exterior governance mechanism; Constructs the consummation of internal structure of company governance.The full text divides into five chapters. After introduction, the second chapter mainly makes the analysis and the induction of ownership structure and corporate governance theory, and elaborated the influence of the monopoly characteristic to the corporate governance. Third chapter mainly reviews the ownership structure and situation of corporate governance of state-owned monopoly enterprises, and specified the choice of company governance pattern for the state-owned monopoly enterprises. Fourth chapter, the analysis mainly revolves the effect of ownership to the state-owned monopoly enterprise's exterior government mechanism after reform, internal government structure, thoroughly proves the existence of the question and analysis the reason to hold the key point of the whole thing. Fifth chapter is the countermeasure; it proposes related strategy to perfect state-owned monopoly enterprise company governance mainly from several aspects such as cultivating the environment market mechanism function and improving stockholder's rights structure, and internal domination disposition.
