Research On That Effectiveness Of The Related Party Transaction Supervision In Listed Corporation

The Related Party Transaction (RPT) is an important part in economic behavior of listed corporation, which is so frequent in Chinese listed corporation. In good ways, it could cut down the transaction cost, improve group enterprises'ability of capital operation, promote the effective of the listed corporation's process, make the most profit of enterprise, but it is complicated and special, it is abused in common. So it has been put on an increasingly prominent position to strictly standardize the RPT of listed corporation. In China, the supervision on RPT is divided into internal control conducted by corporation itself and external control which is governed by Tax Agency, the Treasury, Securities Regulatory Commission, laws and regulations that concern RPT are taxation regulations, accounting principles, security regulations. The thesis pays attention to the issued regulations'effect of RPT supervision, whether publishing these regulations could restrain and affect RPT effectively and the extent of the effect. On the basis of these questions, this thesis is composed of four chapters:The first chapter is the conception of RPT in listed corporation and its supervision, it analyzes the reason for the existence and the consequence of RPT, which is a logical standing point of RPT supervision, then discusses the aim and contents of RPT supervision;The second chapter is the analysis of RPT supervision and its effect, firstly, it investigates the status quo of RPT supervision in listed corporation and discusses the supervision system of RPT supervision in Chinese listed corporation, then analyzes the effect of RPT supervision theoretically and the supervision effect under the present problem of RPT;The third chapter is the positive analysis of RPT supervision in listed corporation, it researches the listed corporations'annual reports, discusses RPT supervision effect in listed corporation through the total situation of RPT in listed corporation, the status quo of information disclosure and related transaction activity, this is a key part with new ideas in the thesis;The fourth chapter is the suggestion of how to improve the supervision effect of RPT in listed corporation. Based on the previous analysis, it puts forward some advice for the present RPT supervision, in order to enhance the effectiveness of RPT supervision.
