The Research On Corporate Governance Evaluation Of The Listed Companies Of China Based On Institutional Investors

The Chinese Listed Companies have gradually established modern company governance structure and mechanism during ten-year's development. The researchers and industries need urgently to learn the situation of the governance of Chinese Listed Companies, but now, security investment fund, a representation for institutional investors, is of vital importance to the consummation of listed companies'governance structure, so it is necessary for the evaluation system to conduct research into the governance of Listed Companies basing on the field of vision of Institutional Investors. This paper obtains from the Institutional Investors'angle, to establish the governance appraisal system of the Listed Companies, to discuss the corporate governance indexing system which stresses for representative's Institutional Investors by the fund to the fund achievements influence, trying to answer: From the perspective of Institutional Investors on how to evaluate the quality of corporate governance? What are the importance of corporate governance indexes when fund select stock? How did these indexes affect fund performance? How to optimize the action of selecting stock of fund? .Under the guidance of the company governance theory and enterprise top management theory, this paper creatively puts forward the objectives and the contents of the corporate governance quality evaluation of the Listed Companies from the perspective of the fit by the scientific definition of the governance structure and mechanism of the Listed Company basing on Institutional Investors'angle. Based on the systematic theory, this paper explores the major goal and principles of the governance quality evaluation system of the Listed Company, and analyses the major influence factors and contingent factors, and then designs the perfect governance quality evaluation index system of the Listed Company.
