From the 21st century, we have stridden forward the Knowledge-Economy age. The most important characteristic for this age is to think highly of talent men. As the most unusual human resource, the operator's activity will affect the operated condition, and whose behavior style and value concept will effect the developing direction of the enterprise directly. Under the condition of existing benefit target differences between the owner and operator, how to arouse the activity of operator, make him choice the behavior and decision benefited to the owner is just the meaning when we research the incentive mechanism of operator, and which is also very important to reality. The listed companies of our country have prodigious disfigurement in finance incentive mechanism, which is incentive deficient and constrain weak.This dissertation, from the perspective of economics and management, and mainly from the perspective of economics, conducts an exploratory research on the managerial incentive and constraining mechanisms in listed companies. By reviewing the existing literatures on the managerial incentives and constraining at home and abroad, this dissertation summarizes the research findings of the relevant theories, evaluates the valuable viewpoints and issues requiring further exploration and development, which constitutes the basis for the consequent researches of this dissertation. On the basis of introducing the interrelated theory of finance governance and incentive, this dissertation analyzes annual salary and stock option of listed companies. Though such problems in listed companies are not all, it in fact appears frequently. In the following, the paper discusses ways of related questions. The key of this dissertation is design of combination salary model which combines the annual salary and stock option, and constitutes the financial evaluation system, which carries out in HISENSE ELECTRIC-APPLIANCES COMPANY; through the analyzing of investment and financing of listed companies of our country and puts forward increase the proportion of debt in order to inspirit the managers of listed companies, at the same time, the dissertation indirectly prove that debt financing in our list...
