Study On The Mode Of Board Of Directors And The Characteristics Of Board Of Directors In Listed Firms Of China

The study background of this paper is the rapid growth of the number of the listed firms with a lot of problems in their boards of directors. In modern company, most of the stockholders are far away from the control of the company because of the proprietorship being separate from management. Under the commission of meeting of shareholders, the company is control mainly by the board of directors. So, the board of directors plays a very important role in corporation administrative structure. And it is a key problem for the perfecting of the corporation administrative structure to constitute a normal, independent and effective board of directors. In our country, many listed firms have diverse problems in their board of directors.Based on the analysis on the theory and study about board of directors, this paper points out the problem of board of directors in the listed firms of China, and presents the concrete improvement measures from two angle of view-----mode of board of directors and characteristics of board of directors, which will provide the listed firms of China with the reference to adjust and reform the board of directors. The paper analyses contrastively the mode of board of directors and advises the listed firms of China to choose the appropriate mode of board of directors. On the other hand, through studying on the relation of the characteristics of board of directors and corporate performance, the paper finds the disciplinarian between them, and then points out our listed firms could use the disciplinarian for reference.We know that every company in different country has their own history and culture, and there is no common principle for every firm. About corporate governance, about governance of the board of directors, we also need do more.
