Merger and acquisition operations have been increasing in China in the recent yeas, with the development of reform and open. Through capital operating, some enterprises grew rapidly. However, many enterprises have stumbled in M&A.Integration is the key to determine the performance of firm M&A. Its common knowledge that integration is more important aid complex than equity exchange. But the problem existing in the process of M&A integration is ignored in current, especially domestic documents. Therefore, the theory of integration lags behind other theories in the area of M&A such as the theory of M&A motives and M&A performance, and can't meet the need of practices today.Basing on the analysis above, the paper focuses on reorganizing theory and the present status of enterprises abroad and at home and takes the case of Zheda Supcon Technology Co.,Ltd acquisitioning Hangzhou Education Instrument Co., Ltd as the background of the study. And analyze deeply the postaquisition integrating management and strategy, from the aspect of strategy and organizational structure, human recourse, finance and company culture, which gives instrument and suggestion for the development of the postaquisition company. Besides this, the paper advances a set of integrating procedure, combining with the integration theory and cases. And analyses the special problems in the Chinese integration and gives some advices. The paper is consisting of seven parts. The first is the introduction of the case company, the significance and method of the study. The second chapter talks about the basic integration theory, and sums up the successful experiences of postaquisition integration. The next chapter is about the strategic and framework differences between companies and the integrating policies. The forth chapter probes into the integrating process of human recourses of the two companies and analyses the stabilizing policy for the human recourses. The fifth chapter expounds the content and measures of financial integration. In the sixth chapter, company cultural conflict and cultural integration is talked about. The last is the conclusion of the thesis.
