As the capital market develops rapidly, there are more violation than ever before, especially for listed companies including those prestigious ones. All these behaviors have damaged investor's benefit gravely. The frauds of listed companies lie in three aspects: 1.False financial information; 2.Raise money frequently and arbitrarily; 3.Other violation.Since CPA is the independent auditor of listed company and has the reputation as"economy police",the public expect the true financial report and impartial and independent audition, which would directly influence investors'decision. Accounting firm has been played an important role in capital market. In recent yeas, the listed companies'frauds do not only reveal their problems bus also reflect the CPA's professional ethics for CPA may announce the audit report that against the reality by having accepted bribes.This paper researches how CPA would face public's querying about the financial report. The article chooses 102 industrial listed companies committed frauds as statistics sample during the year of 2000-2005, and chooses listed companies of no frauds as the pair example that with the equal assets in the same industry randomly. Then undertake the research in applying logistic Model of SPSS. The demonstration studies present that CPAs have taken the frauds into consideration while releasing the financial report.The contribution of this paper is that it provides a new research method by analyzing the combination of listed companies'violation and audit opinion as well as the extent that audit opinion has played in capital market. Meanwhile, this article also accounts for that the financial report of CPA is credible on the whole.
