Currently, foreign academics has made significant headway in the field of women in the boardrooms, but in our country the study of gender structure of boardrooms has not attract economists's eyes.The goal of this article is to analyze the sex structure of board of directors in our country, to pursues the function of women board directors in the company govern. I will systematically discuss the distribution of the gender ratio, and the interrelationship between some target of the gender structure and the company performance, and will pay attention of contribution of female senior managers in corporate governance, and will carry the real diagnosis analysis on the relations about sex structure in the board of directors and the company achievements: The research technique mainly has the description method of average and the real diagnosis analytic method.This article elaborates the qualitative about investigation the high-level feminine leadership and the sex structure of board of directors, analyzes the "Glass ceiling" phenomenon proposed by the Western scholar which feminine superintendent can not break through: then analyzes some characteristics and present situation of high-level female leads.This article specifically elaborates the situation of the Chinese female directors distributing: the situation of the global female directors distributing and the characteristic: and will analyze the reason; and will make empirical analysis of relationship between the gender structure and company performance. This article also will elaborate the overseas women directors who connecting the legal advancement and the significance; this article also will make an international comparison between the characteristics of the female directors, and will discuss the board of directors thoroughly on the gender structure.This article will carry on the theoretical analysis to the present situation at sex structure of our country board of directors after the real diagnosis analysis of relations between the sex structure of board of directors and the company achievements, and then points out concrete reason about low proportion of female board directors, including sociological, legal and system stratification factor.This article also elaborates that the board of directors in the modern company govern also need such one kind of flexible management way that will have the female to participation. This article will analyze that the female directors' participation is advantageous to enhance board of directors's affinity and the cohesive force, proposes that the board of directors will need the flexible government way, The board of directors with suitable certain proportion of women directors will adapt this kind of government structure requested by modern management.I think that because the board of directors usually has double function between the strategic decision and the management supervision, when the female members in the board of directors occupies certain proportion, the board of directors governing which in the process in the company is able to consider inevitably the female directors will bring different management idea and innovation and transformation of management decision-making pattern. This article also mentions that the sex factor has provided one kind of possibility tendency in the decision-making, namely the sex role leadership way will possibly hold certain importance in company's decision-making. I also will advocate that we need integrate the sex consciousness to the company strategy development decision-making and the election institution of board of directors, which will make Chinese corporation have much more competitive power.
