Along with the deepening process of China's Reform and Opening up, and its entry to WTO, the global economy integration process has been greatly promoted. The emerging and fast development of a number of private enterprises and the coming in of a large number of foreign enterprises will bring about a new round competition for talented personnel. How to effectively stimulate the talents and meet their internal and exterior requirements so as to keep the talents stayed and better exploit their abilities is an urgent issue for State-owned Enterprise (SOE).With regard to the opportunity and challenge faced by Heibei Baoshuo Group Corporation, this paper analyzed the current status and problems of human resource management and motivation. From the point of the modern management and exploitation of human resource, using the incentive theory and application, a system with effective and efficient incentive system is set up and improved, dealing with the demands of the company's personnel and the"loose application of personnel, loose management"status of SOE, this paper studied and designed particular incentive system from four sides which are the motivation of pullulation, compensation welfare, object motivation and enterprise culture, and this paper made up all-around organizational guarantee, mechanism guarantee, resource guarantee and incentive effect cost evaluation guarantee. And made up effective incentive system of Baoshuo Group Corporation to gain the motivation effect and reach the purpose of"staff exert their ability, their ability can be used".
