As a long-term incentive mechanism of our country listed company, stock option incentive is helpful to solve the agency problem between shareholders and operators, perform the consistence between ownership and controlling power, and conquer the short-term actions of managers to pay more attention to long-term sustaining development.With the development of stock option incentive,how to choose appropriate stock option incentive modes already become the problem that our country listed company shows.According to the current situation that a listed company stock right stimulates, and set off from the reality of our country,I classify stock option incentive into five basic modes, outstanding achievement stock, executive stock option, standard stock option, management buy-out and deferred payment. By analysing stock right stimulating validity to appraise a model and assume it,and explain the value that stock right stimulates embody and comparative basis of incentive mode.Using the SPSS software to demonstrate the relativity on managers'compensation proportion and others through the multiple elements linear regression.By the demonstrating analysis and contrast, we can make a conclusion about listed company. In the end, I make an analysis to give a suggestion and solution about how to make a sustaining progress of stock option incentive and rational choice in listed company of China ,all that for the perfect effect on stock option incentive in our country listed company.
