At the present time, project financing is a new thing to our people. There are many question in the research of theory and practice. therefore, bases the characteristics of infrastructure , research on the project financing decision is very important.There are three parts in the text. First of all, bases the characteristics of infrastructure, the author establish the appraise system of project financing. And ,applying the theory of entropy, the author establish decision model. secondly, applying the theory of marginal utility, the author export the model of capital structure. At length, the author validate the method of project financing decision.
