However this thesis analyzed the difference between two countries and found out the root of the problem as well as some practical suggestions.This thesis consisted of three chapters. The first chapter was the review of the literature and theories. Second chapter was the key part of the whole thesis. It was the compare of Chinese and American stock market from four aspects. IPO, stock exchange market, OTC and supervision system. The last chapter was a summary of the conclusion and suggestion.
