The scandal of Zheng Bai Wen, Yin Guang Xia and Wang Xiaoshi disclosed the disadvantages of Chinese stock market. How to manage Chinese stock market? Whether we ought to use the registered system or the authorized system? How to optimize the middle and small size companies markets, exchange market and OTC market? How to build up an effective system to inspect the stock market? All of these are the problems which the Chinese stock market is facing. Why there are so many problems and how to deal with them? These are what the thesis focuses on.This thesis compared and analyzed IPO, stock exchange market, OTC and supervision system. At the end, it concluded as followed: Registered system would substitute authorized system; different company should have different standard for IPO and pricing; after Chinese stock market matured, it should organize stock exchange market as company; OTC market need set up promotion system; supervision institution ought to distribute right to subordinates and government need improve security law system.Comparing the difference between Chinese and American stock market system is the innovation of this thesis, because most of researches only involved stock marketing system introduce or single Chinese stock market problem. However this thesis analyzed the difference between two countries and found out the root of the problem as well as some practical suggestions.This thesis consisted of three chapters. The first chapter was the review of the literature and theories. Second chapter was the key part of the whole thesis. It was the compare of Chinese and American stock market from four aspects. IPO, stock exchange market, OTC and supervision system. The last chapter was a summary of the conclusion and suggestion.
