However, the disadvantages of power industry attached enterprise such as the relationship between asset and right is not clear, the management system is out of regulation, operational capital couldn't flow freely and lack of entry and exist system, also obstacles its further development. The long-term view of the power industry attached enterprise is to become separate legal entity, and to work and develop under the regulation of market rules. The key of reform sits one the company management structure. Based on analyzing the connotation connection relationship between company management and benefits-relation, this paper states the solution of the company management difficulties by emphasizing the role of the main benefits-related party.The corporate governance system comprises the internal and outside organizations and mechanisms. The internal organizations include the general meeting, the board of directors, the supervisory board and the executives. The internal mechanisms include the decision-making mechanism, the incentive mechanism and the supervisory mechanism. The outside organizations include the markets, the laws, institutional investors and the government supervisory departments. The outside mechanisms include the takeover mechanism, the information disclosure mechanism, the bankruptcy mechanism and the government supervisory mechanism.And take the JUYUAN which attaches to the electric company a case, this paper analyses the enterprise development, the present situation of the main benefits-related parties' value-oriented object, designs JUYUAN enterprises asset and right reforming model and company management model which fits for JUYUAN' present situation. According to the fact that as a power industry attached enterprise, the paper also states the motivation mechanism that puts forward to the yearly salary system assessing management target. And the paper leads to a conclusion that as for middle sized and little power industry attached enterprise company management model, considering benefits-related party's value oriented target is the target of company management. The uncertainty of outside circumstance will lead to the uncertainty of company management model.Enterprise takes benefit related party's value oriented company management will also rely one the evolution system of outside law, credit and social responsibility. Concept changing of charging sector's and operator's idea also affects the operation results.It is the inevitable trend of the power industry attached enterprise to develop according to modern enterprise system that the asset and right is clear, right and responsibility is clear, electric company and attached enterprise is separated and management is reasonable. |
