Civil Responsibility Of Securities Private Placement

China's privately issued securities are still at an exploratory stage, but with the new "Securities Act" and "the management of listed companies issuing securities to" the introduction of laws and regulations, China's securities privately that the system already has space.In this paper, in the light of the United States Securities Act on the issue of private law provisions, the Public Offering issued by the Securities and civil legal system, the issuance of the private placement and content with the concept of boundaries, focusing on the issue of private civil liability for the research and concluded that China will give private securities issued improve the legal system for reference.
