For a long time, theory and practice of the profession on the enterprises' financing have done a great deal of research. Their study focused mainly on the role of external financing in the corporate finance structure, as well as the relationship between external relations and corporate governance. With the expansion of the socio-economic scale, the social division of labor and capital continue to accelerate their pace, and the enterprises' form of production organization is constantly evolving and developing. In the economic globalization and the competitive, the large enterprises are the backbone of the national economy, and they have had a significant impact in the development of society and play an important role in our life. Because they can channel the cash flow together, and on high-yield areas, economists Williamson called the M-type organization as an internal capital market (Internal Capital Market, ICM). Internal capital market provides a new perspective for the researching firms. At present, the internal capital market research has achieved certain results.This article contains six chapters; the first chapter will research on the significance, methods and ideas. Then, study the current status at home and abroad, lay the foundation for the next demonstration. The third chapter will introduce behavior of operations of internal capital market, in order to illustrate the process of allocation ;the fourth chapter will demonstrate the current and existing problems of internal capital markets, combined with China's listed companies operating within the overall capital market conditions and specific case studies, deeply analyzed the causes of internal capital markets, the fifth part of the article put forward the suitable suggestions , the sixth chapter will be summary of the full text.
