Since 1990's, with the development of economic globalization, corporate governance in listed companies has been increasingly becoming the worldwide focus. The corporate governance rating system of corporate governance quantification index is developed in the late 1990s. So far some research results in governance rating system have been made, but with the new stage of structure perfect gradually translating to mechanism perfect in corporate governance, in adapt to changes of evaluation index system, to ensure the integrity and accuracy of the information provided, and meet the needs of users, and we need to assess corporate governance result from different angles. Therefore in this paper I will made a lot of theoretical analysis basing on fully considering the specific internal control mechanisms, and make up a set of corporate governance valuation index system to assess good or bad results against operating internal governance mechanisms. The target system will play a positive role for developing corporate governance level, improving construction of the system of governance, improving internal internal control effectiveness, strengthening the supervision to the company.At first basing on domestic and foreign summary of the study in corporate governance system and relativity of corporate internal governance mechanisms and governance performance, and know that formerly domestic and foreign study is based on corporate governance status and performance; Formerly study about corporate governance assess system emphasizes particularly on rationality and normalization, and study about effect after corporate governance run is little. So this article will have a theoretical analysis against internal governance mechanisms and its operation functions, then selecting four indexes which are shareholder governance , directorate governance, supervisory board governance and managerial level governance which can reflect that operation effect is good or bad, to build up a set of corporate internal governance evaluation index system. The index system includes four stair indexes of a total 73 indexes, both qualitative and quantitative index, and a brief description of each index and a properly defined of using scope for each index. In the finally we will construct internal governance evaluation index system of delivery hierarchy structure and adopt hierarchy analytical methods to determine the weight of the various indexes for standardization, and finally establish a comprehensive evaluation model.
