In recent years, three oil groups actively implement overseas expansion strategy, acquire international energy resources, and comprehensively set foot into Africa, the Middle East, Central Asia, Russia , and other areas rich in oil reserves. It reflects the Chinese going out, multi-channel and diversified national energy security strategy. However, because of out of its borders, cross-border merger and acquisition is very risky. And as a national strategy energy, oil has struck a chord in a country sensitive nerve and the procedure is very complex, which determines that cross-border M&A on oil is full of risk, especially non-commercial risk. Therefore, in order to succeed in cross-border M&A in the future, China oil enterprises must have a more accurate risk awareness, and take corresponding measures to prevent risk. Thus to analysis the risk that may arise in the process of cross-border merger and acquisition of China petroleum enterprises and to establish risk management system for our country petroleum enterprises have become one of the issues to be resolved.The article introduces the related concept and theory of risk management of cross-border M&A, analyses the status, characteristics and causes of cross-border M&A of China petroleum enterprises, bases on the risk management system of M&A with the actual situation in cross-border M&A of China petroleum enterprises, establishes risk management system suitable our country petroleum enterprises. It recognizes major risk based on preparatory phase, implementation phase and integration phase first, and then introduces two risk evaluation methods: SWOT strategic analysis and fuzzy comprehensive evaluation, last brings forward prevention measures from the perspective of government and petroleum enterprises.
