Research On The Legal Issues Of Regulation On Mainland Corporations Listing On HongKong

Listing in Hong Kong market of Mainland corporations(hereinafter "listing") means that corporations registered in the mainland or not registered in the mainland but controlled by the state-owned capital or private capital list in Hong Kong security market.This paper is talking about the issues emerging during the process of Mainland corporations listing in Hong Kong,revealing the defects of the existing legal system of cross-border security supervising system and security supervising cooperation legal system between Mainland and Hong Kong.Discussion about how to improve cross-border security supervision separately to filling the legal gaps,and how to perfect the security supervising cooperation legal system by using advanced international security supervising cooperation experiences.This paper is divided into four parts.Chapter 1 is to introduce some legal issues of listing and securities supervision,and to analyze the necessity of cross-border securities supervision.Chapter 2 is to introduce the cross-border security supervising systems of Hong Kong and Mainland separately,and put forward the idea that by strengthening cooperation between securities regulators to make up for gaps in cross-border supervision of the securities.Chapter 3 is to introduce the advanced international security supervising cooperation legal system,and the existing legal system of security supervising cooperation between Mainland and Hong Kong.Chapter 4 is to make recommendations about how to improve the existing legal system of cross-border security supervising system and security supervising cooperation legal system from legal angle,based on probing into the achievements and defects of the existing legal system of cross-border security supervising system and security supervising cooperation legal system.
