Since the implementation of economic reform was conducted,it has been the core and key point of reconstruction to set up an appropriate way of corporate governance during the process of transferring the enterprises into the company style in China. In the period of mid and late of 1990s,with the deeply reformed of nation-owned enterprises,China's commercial banks experienced a gradual process of reform from the traditional planned economic system to a modern enterprise system. With the support from the government,it reformed to be a joint-stock and was promoted into the market successfully. But it does not mean that a scientific way of corporate governance is established.Based on the analysis of the theory related to corporate governance, this paper tries to study the degree of correlation between the governance of local commercial banks on the market and the corporate performance. To conduct the study it viewed from three different points of management-the board governance, equity governance and management governance, also methods of principal component analysis, multiple regressions and so on are applied. The research shows that the times of meeting of the board and the proportion of independent directors have negative correlation on corporate performance in the board governance, but with the increase in the size of the board of directors, corporate performance is enhanced. However, the relation between equity governance of commercial banks and corporate performance is no significant indicating that the equity governance of commercial banks does not obviously correlation on their corporate performance. In the management control, this paper found that the governor remuneration and governor turning have significant positive correlation on the performance of commercial banks.
