In recent years,the tide of enterprise restructure and merger appears in China,and the related theories inevitably face new challenges.Developed market economy countries in this respect has a lot of research results.Compared with it, this area of our country is still relatively weak.Evidently,enterprise merge is a strategic investment activity and it will cover large quantity of finance decision activity. No doubt ,paying efforts to probe into the financial problems in enterprise merger has crucial practical significance.Therefore,whether the financial decision-makings in M&A is correct and the the financial program is suitable determines the success or failure of M&A operations and the quality of the prospects for enterprise development. This is the practical significance of the thesis topic.At the conclusion analysis of the M&As purpose theory at home and abroad , the purposes are all reflected in the financial objective of mergers and acquisitions above. Therefore, financial problems are the core of M&A .This article discusses the financial problems for clues to the process of mergers and acquisitions, that is,financial evaluation before M&A (including the selection of target enterprise, financial review and value assessment), the payment way during the process of M&A(including how to make payment-way decision),the financial integration after M&A (including the need for financial integration, objectives, content and performance evaluation). It is hoped that this paper can offer practical operational reference concerning the financial decision for the business M&A,and raise the chances of the M&A success.At some problem, the article is not only a detailed qualitative analysis, but also sets up corresponding evaluation index and evaluation models.And it introduces case studies to validate the proposed application of theories and methods. It is declared that the issues of merger and acquisitions in this article are standing on the viewpoint of acquiring firms and having been neglecting the target company's financial problems.
