Trade associations, is a product of the modern society development, the logical premise of its generation is"the government malfunction"and"the market malfunction". Government is fail not only in the production of competitive personal effects, but also in the public affairs. The market is not only in providing on the public goods to have the malfunction, but also in the personal effects. Trade associations is a social intermediary organizations between the Government and the market, to play an effective complement role to the both, and it is an important component of market economy.There is a series of problem in the internal and external governance of trade associations in China, as a result of the history, the culture, politics, the economy and so on. In the external government, no perfection of the legal environment, no explicit of the market access system, imperfection of the surveillance system, cause the chaos of trade associations management, low efficiency and disorder of the trade associations .In the internal government, chaos of trade associations' organizational structure, lacks of mechanism, lead to trade associations' credibility is not high, and its functions are severely constrained.In some main developed countries, like US, Japan, and Germany, the market economy already has developed to a very mature stage, the trade associations' development and the government have already formed respectively the unique policy and the system. The trade associations no longer is government's dependency, becomes the bridge of the government and the enterprise truly. Some economical developed area (for example Wenzhou, Shenzhen), the trade associations' development has also formed the certain scale and gained in some experiences.The successful experience development of domestic and international in trade association provides an useful reference for trade associations' organizations and governance in China. The domestic and foreign successful experience has provided beneficial model for trade associations' organization and government of our country.In many kinds of literature foundations, first of all, this paper is clear the concept of trade associations, locating the trade association in the third department proposed by Professor Qin Hui. Secondly, using empirical research methods, carries on the questionnaire survey to the Wuxi area's trade associations and on-the-spot investigation, analyzing question existing in trade associations' governs of our country. Finally using the comparison research methods, gives specifically perfect measure, profiting from the domestic and foreign trade associations' typical, successful experience, building our own model.In this paper, the innovation lies in bringing the third department proposed by Professor Qin Hui into the governance of trade associations for the first time, locating the trade association in the third department. Refers to the way which the third department relates to the first, and the second department, through each kind of legal, the laws and regulations, the rule, system's formulation and the consummation realize smooth communication between the trade associations and the Government, between the trade associations and enterprise, then construct the trade associations' internal and external govern model. Moreover, in constructing trade association interior government model's process, stress the function of the unofficial institutional arrangements, and propose some own viewpoints.
