Result as the development of China Stock market, issues on earnings management of the listed companies have been paid more and more attention to by creditors, shareholders, government stock supervision department and all the other benefit relevant groups. This paper makes a systematic summaries and combing on theories of earnings management at first, then base on distinguishing control right and ownership concentration degree, under the condition of defined management compensation level, an empirical research is made on the relationship between managers' age, gender and earing management at last.This paper uses all listed companies' data from 2004 to 2006 as research sample, deleting ST, *ST, new listed and finance and security business companies. Overall 2,508 company annual value from 836 listed companies. On method wise, paper chooses modified Jones Modle to calculate the Discretionary Accruals to represent the earnings management level. Empirical study on the relationship between managers' age gender and earning management using Independent-Samples T Test, cluster Analysis, and Liner Regression Analysis.The analysis reveals that: (1) State-owned listed companies shows a higher earning management level than un-state-owned listed companies; (2) Managers' compensation does not show a significant correlation to earning management level in both different control right style companies; (3) In state-owned listed companies, the companies with a higher percentage of male managers shows a higher earning management level; (4) In un-state-owned listed companies, the companies with an older average age level shows a lower earning management level; (5) Lower ownership concentration level companies shows lower earning management level.Also the analysis reveals that bigger companies shows lower earing management level; in high ownership concentration companies, higher manager compensation shows higher earning management level.
