China shipping enterprises are facing with intense challenge of global economic. For China shipping listed companies, how to get competition advantage is the most important task under this condition. Among all the economic related problems, the incentive problem is the core. Top managers are important investors of enterprise human capital elements, their efforts and operation competence are key factors driving corporation performance. So incentive mechanism to top-managers is the most important problem among all.Due to commission theory, human resource theory and EVA theory, and combined with the actuality of top managers compensation in China shipping listed companies, this thesis constructed theory analysis framework system about influence factors of top-managers'compensation based on the basic goals of top managers'incentive mechanism. At last, the paper has constructed top-managers' compensation incentive system and incentive model of bonus and stock option based on EVA. The most important part is calculation principle and accounting adjustment procedures of EVA, taking COSCO Shipping Company Limited(COSCOL) as the example.We can get the related data from the shipping list companies'financial statements.These theories will provide guidance for designing an incentive plan of top-managers for China shipping listed companies.
