With the global economy continued to deepen the integration process, as the retail sale terminals are also increasingly involved in international into them. China's huge market capacity, strong economic growth, a growing middle class and their rising purchasing power, has attracted more and more international retailers flock. Affected by the impact of foreign-funded retail enterprises, on the one hand China's retail industry has made great achievements, mainly in the retail sector as a whole has expanded rapidly and has increased the level of modernization, business form diversified development trend. On the other hand, due to China's domestic retail enterprises affected by the long-term historical and cultural influences, and foreign-funded retail enterprises there is a certain gap, forming an unprecedented competitive pressures, resulting in a huge impact. Particularly since the December 11,2004, China's retail industry after the complete opening of foreign, foreign-funded retail enterprises has accelerated the pace of expansion and acquisitions. The large-scale entry and expansion of foreign capital would intensify competition in China's retail industry, once the formation of foreign investment in China's retail market, monopoly, not only affect the domestic retail firms, manufacturers will also be a huge impact. The view of the current market structure of China's retail industry is intensely debated, then the market structure of foreign investors in China's retail market concentration in particular, the impact of research is particularly important.In this paper, foreign investment into China's retail market as the entry point, recalling the course of opening China's retail and foreign investors to enter the Chinese retail market forms, ranging from the size of foreign retail, market share, business form point of view of distribution and regional distribution of foreign investment in retail trade the actual development of the status quo in China, and from the national retail market, the regional retail market and formats market perspective into China's retail market concentration measure and analyze. Adoption of a comprehensive qualitative and quantitative analysis showed that foreign investors in different trend of marketing and retail market concentration in different regions with different implications on the national retail market concentration degree of long-term and short-term effects are also different. Overall, short-term foreign capital to enter the Chinese retail market concentration is low and the market competition; but in the long run, foreign investment continued to expand the size of the Chinese retail enterprises expanding retail business merger and reorganization of behavior intensified, market concentration increased the market forces have concentration trend. Over the years, from China's retail industry, size, profitability level and technical level terms, with the market concentration degree of China's retail industry to improve China's retail market performance has improved. Since China's retail open from now, foreign investment in promoting China's retail industry's development. However, the efficiency of resource allocation point of view of retail can be found, China's retail market, efficiency of resource allocation is still low, which indicates that China's retail industry is still in the consolidation phase. Efficiency of resource allocation to improve the retail industry must be for the Chinese retail market to create a good environment for competition, which includes not only the foreign-funded retail enterprises within the retail enterprise with the competition, but also domestic-funded retail enterprises within the competition. In this paper, the retail conduct of business, the retail market structure and government behavior and the retail industry self-regulation by 3 put forward a number of related policy recommendations with a view to the healthy development of China's retail industry to make some contribution.
