Since the 70s of last century, Western society business scandals broke out frequently. People are starting to focus on business ethics issues, and think about business organizations and individuals'performance in the face of the ethical issues. Currently, almost research is in Western culture, of which some scholars focus on the ethical decision-making and its behavior of developing countries. For example:Donaldson and Dufee have conducted empirical research in China; Deshpande rensearched India industrial and business ethics. With the deepening development of China's market economy, many ethical issues began to appear. We have reached more than ever needs the stage of business ethics. Then, in the context of Chinese culture, which factors impact business manager's decision-making behavior, how to enhance the ethics management of Chinese enterprises, which have become an important research topic.Based on this background, this paper begins to study the factors of ethical decision-making. Test the impaction between moral intensity (magnitude of consequence, social consensus, probability of effect), cognitive moral development and ethical decision making. Test the intrinsic link among three stages in Ethical decision-making process (ethical awareness, ethical judgments and ethical intentions). This study utilized scenario questionnaire, analysed 147 valid samples. The main conclusions:(1) The three stages of ethical decision-making(ethical awareness, ethical judgments and ethical intentions)interact significantly.(2) moral intensity (magnitude of consequence, social consensus, probability of effect)will impact ethical decision-making.(3) cognitive moral development will impact the three stages of ethical decision-making(ethical awareness, ethical judgments and ethical intentions).
