In the fierce market competition, mergers and acquisitions have become a rapidly expanding business and achieve leapfrog development in an important way. After five waves of global mergers and acquisitions, M&A is no longer the purpose of speculative gain access, but rather to seek synergies brought by acquisitions and the enterprise's core competitive capabilities, a new term - "strategic merger" has become the main features of second wave of mergers and acquisitions. Many enterprises no longer blindly pursue diversification, so more and more enterprises begin to return to the core business. Based on the core competitive power of perspective as it implements the strategy of mergers and acquisitions, not only for the development of new business space, but also effective in the grasp domestic the international economic pattern change brought about development opportunities. Therefore, based on core competence perspective Strategic M & A research has important theoretical and practical significance.This strategic acquisition of related concepts from start, first of all M&A theory, strategic M&A theory and core competence theory were summarized and analyzed, on the core competence and strategic analysis of the relationship between acquisition and elaboration know more about abroad on the theory and practice research results; specific analysis based on the core competencies of strategic M&A and M&A integration; established for the core competitiveness of the M&A motive analysis model to analyze the acquisition of external effects and merger integration of M&A motivation; by case analysis shows that based on strategic acquisitions the core competitiveness should pay attention in practice the problems and get inspiration.Innovation of this paper are: (1) re-induction described core competencies and strategic acquisitions relations; (2) to analyze the strategic M&A formation mechanism; (3) analyzed and summarized the strategic post-merger integration of content and to note issues; (4) with case analysis strategy based on core competence in the practice of the use of M&A and should pay attention. .
